Terms and Conditions

This is SM Group Innovation's online ideas portal (“Portal”) and is operated by SM PLC (“Tesco“, “we” or “us”), part of the SM Group, a company registered under the Companies Acts 2006 in England and Wales (No.445790) and having its registered office at SM Stores Ltd, SM House, Shire Park, Kestrel Way, Welwyn Garden City, AL7 1GA.
By submitting content (in whatever form) to SM on the Portal (each instance being an "Entry") you agree to these Terms & Conditions.  If you do not agree with these Terms & Conditions, please do not submit Entries through the Portal. Unless we agree with you otherwise in writing, we will not accept entries in relation to your idea in any other way.
The Portal forms part of the SM website, and SM's website terms and conditions apply to your idea submission via the Portal (and can be found here).  To the extent there is any conflict between these Terms and Conditions and SM's website terms and conditions, these Terms and Conditions will apply.
You must be at least 18 years old to submit Entries to SM.  By submitting your Entry, you confirm that you are age 18 or over.

 

Confidentiality

You must not submit any confidential information to SM and You agree that your Entry is not confidential.  SM will not consider any Entries that are confidential or subject to third party restrictions.  You agree that SM may use and share your Entry freely and without restriction with other members of the SM Group and with third parties.

 

Your Entry

You agree that:

  • you have all necessary rights to, and are legally entitled to, submit your Entry to SM via the Portal in accordance with these Terms & Conditions;

  • your Entry does not infringe any third party's rights, including intellectual property rights and your Entry is compliant with, and does not violate, applicable law;
  • your Entry is not subject to any restrictions, adverse claims or disputes of or by any third party; and
  • SM can (and You are entitled to permit SM to) use and share your Entry in accordance with these Terms & Conditions.
You agree to inform SM if You become aware of any circumstance that would make the statements in this section inaccurate.
You acknowledge that SM may have independently and already developed your Entry or may independently be in the process of developing, or develop in the future, ideas or concepts similar to your Entry. SM will have no liability to you arising for any such independent creation.

 

What will we do with your Entry?

SM may decide at its sole discretion whether or not to review and assess your Entry.  If SM is interested in your Entry, we (or a third party) may review and evaluate your Entry, contact you regarding the Entry and/or engage in further discussions regarding the Entry, but we are under no obligation to do so.  If we decide not to review, evaluate or use your Entry, we are not obligated to contact you and/or give you any reason for this decision, and shall have no liability to you for this decision.

Any discussion we may have with you relating to your Entry or any offers we may make to you shall not bind either of us unless and until you and we enter into a signed written agreement (if any). No discussion or offer shall be deemed or inferred to be an admission of novelty or originality of your Entry, or that our discussion will lead to a contract or business relationship between you and us, or any form of compensation to you. 

SM may make a copy of any data submitted via the Portal or otherwise collected during the course of any communications with you, but is under no obligation to return any materials to you. 

 

Limitation of our Liability

We exclude all liability resulting from the submission of your Entry.  You waive any claims against SM in connection with our use of your Entry in accordance with these Terms and Conditions. 

 

Additional Terms

We may suspend or stop providing the Portal to you at any time at our discretion.
We may amend these Terms & Conditions at any time. Any change to these Terms & Conditions shall be effective and apply to the Portal on and from the date that SM upload the amended Terms & Conditions onto SM plc website.
These Terms & Conditions, your use of Portal and the relationship between you and us shall be governed by the laws of England and Wales, and you and we submit to the exclusive jurisdiction of the English courts in relation to any dispute.
